well...based on you spelling....I would guess you have a very marginal
pc...ie..your hardware....again this is only based on you statement which is
extremely difficult to comprehend....

I think I understand Budo's problem because I am encountering the same thing. I am running a laptop that is currently using Windows 98SE with more than enough resources for the upgrade to Windows XP (Home Edition). When I put the upgrade disc in, the window ("Welcome to Microsoft Windows XP") comes up with that as a header, but the window is blank and the system is effectively locked up. I've tried going at it from every angle, autoload, manually load from explorer, etc. The disc does load on a system that is already equipped with Windows XP, so the disc itself isn't the issue. Does anyone know a quick fix for this?

Successful upgrades start in the preparation steps. No shortcuts as
these things are important to get a good solid install of a new
operating system. Everything else rides on that base - the operating
system - being stable, so don't cut corners. Just a few things that
should be checked:

-Is there MBR protection enabled in BIOS? Turn it off.
-Is antivirus protection provided by BIOS enabled? Turn it off.
-If system is overclocked, revert to default settings. Tweak the
settings again after XP is in.
-Has the antivirus program in Win98 been uninstalled?
-Was drive overlay software originally used to prep the drive that XP
will be installed to? If yes, uninstall it.
-System monitoring/system health programs: disable and/or uninstall.
-If GoBack is present, release the drive from its monitoring and
uninstall GoBack.
-Run the Upgrade Advisor on the WinXP CD to uncover any other
potential show stoppers that exist.
-Disconnect peripherals and the internet while performing the upgrade.
-Enable the firewall before going online or the next thing you will be
dealing with is the MS Blast worm.

Greetings --

Have you made sure that your PC's hardware components are capable
of supporting WinXP? This information will be found at the PC's
manufacturer's web site, and on Microsoft's Windows Catalog:
(http://www.microsoft.com/whdc/hcl/default.mspx) Additionally, run
Microsoft WinXP Upgrade Advisor to see if you have any incompatible
hardware components or applications.

You should, before proceeding, take a few minutes to ensure that
there are WinXP device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98/Me. Also bear in mind that PCs designed for, sold and run fine
with Win9x/Me very often do not meet WinXP's much more stringent
hardware quality requirements. This is particularly true of many
models in Compaq's consumer-class Presario product line or HP's
consumer-class Pavilion product line. WinXP, like WinNT and Win2K
before it, is quite sensitive to borderline defective or substandard
hardware (particularly motherboards, RAM and hard drives) that will
still support Win9x.
