Installation of XP Upgrade error

When I attempted to install XP upgrade on laptop I received the following message...:Virus like activity: Application c:\Windows\Winnt32\Winnt32.exec is attempting write to boot record of drive C:." I'm give 3 options: [Stop], [Exclude] or [Continue]. What does this mean? What should I do?
 
it's you AV software doing it's job....just continue.
