No. You need a "Retail Version" of Windows XP
Professional in order to upgrade over an existing
Windows 2000 installation. OEM versions cannot
upgrade...."clean installs" only!

Best bet is to wipe the drive, and install the OS you want to use fresh.

No, it's not. By design, an OEM CD cannot be used to perform an
upgrade of an earlier OS, as it was designed to be installed _only_ upon
an empty hard drive.
