Put your XP cd in the cd drive and restart ur computer...
when u see a message on black screen "Start Windows from
Cd ?" hit any key fast (you only have a couple seconds)
Windows will start from the CD and give you options.
Choose to Repair and XP will reinstall and correct this
program. The process will take about 30 minutes to
reinstall/repair. You will then have to go to MS Update
page and reinstall any updates, patches, and fixes. Do
this immediately after reinstalling XP, but the reinstall
shd correct the sys32 error.
 
This is completely unnecessary, a waste of time, and will cause more
problems than the user is experiencing already (such as loss of all
installed updates, problems that occur when 'repairing' an XP installation
that was updated to Service Pack 1 and etc.).

SYSTEM32.EXE is not a valid Windows file. It is, or was, a virus/worm file.
The problem the user is encountering is a left over registry entry that is
trying to load the SYSTEM32.EXE file, which was removed by their AV
software.
