how to shut down utilman.exe under XP

I am trying to install SP1a on Windows XP and cannot
replace file utilman.exe as Windows says the file is in
use.
I cannot see it on a task list.
Does it show up as a service or something else?

I have never had this sort of problem when adding service
packs to Windows NT or 2000.

Utilman is the Utility Manager application that controls accessibility
features. Try turning it off by pressing Windows Key + U. If that doesn't
work, turn it off from Start > All Programs > Accessories > Accessibility >
Utility Manager.

In Windows 2000, it ran as a service. Don't know about NT.

I am unable to turn Utility Manager off as suggested using
the Windows key + U. I have read that it is not started
automatically unless it has been configured as a service
or you hit some other key combination.

I am also unable to run or disabled it via
Programs > Accessories > Accessibility > Utility Manager
and it gives an error
"Windows cannot access the specified device, path or file.
You may not have the appropriate permissions to access the
item."
