I am trying to install the upgrade to Nero 5.5. After agreeing the license it tells me that I should shut down Windows Media Player. I have got WM 9 and I know that for copyright protection reasons it cannot be uninstalled. How can it be shut down?

If I close it in Task Manager it just restarts.

Or are Ahead software trying to make an end run around the copy right protection?

What do you mean it restarts, how?
All you need to do is close win media player like you close any other
program, with the x in upper right corner.

I've been through this with Nero, and indeed I just had to temporarily quit
Windows Media Player until Nero was done installing (with maybe a reboot).
Media Player didn't just restart again immediately. Does Windows Media
typically want to keep starting up on your computer? If this is strictly
happening with your Nero installation, it's a question for them.
