I hope I understand your question correctly...

Select the topmost shape, or both shapes if you prefer, click the Fill
tool on the Drawing toolbar, and set it to No Fill. An alternative is
to select the top object, open the Format Object dialog, and set the
transparency to a higher number -- say 40% or 50% -- to get a "sheer"
effect.

dear Jay, thank you ever so much!!!! i am so impressed, now i know why
MVP's deserve their rating! one question remaining though - the alternative
method
you give should be open "Format AutoShape" rather than "Format Object" is
this correct? There is no "format object dialog" that i could find.
Thank you again! God, i have a large number of reference texts, Young, Online
Training, etc beyond Office Online, and none of them said a thing about this
question. After a day or so, I will email you a more thoughtful question
about
the reasoning behind Microsoft Word's design principle. Thank you for
generosity
in volunteering answers to these questions. You really deserve special
recognition,
more than Microsoft!!!! Richard Chiang Pan, Washington, DC, (e-mail address removed)

You're certainly welcome.

To answer your question, the "Format XYZ" command on the Format menu
and on the right-click context menu changes its title depending on
what's selected at the time. In this case, yes, it's "Format
AutoShape". For other items the same position will be labeled "Format
Text Box", "Format Picture", "Format Object", and so forth.

Jay, thank you again for so complete an explanation. I'm really indebted.
