Help Upgrading to Pentium D 940

I have a Pentium D 830 CPU, and would like to upgrade to Pentium D 940.
Would that require me to re-install Windows XP OS? Assuming that the
motherboard and chipsets don't need to be replaced.

Have you checked if the motherboard needs to be replaced or not?
Even if it does - you should be able to do a repair installation - which is
not a wipe/install.
