Help needed - Winupdt.exe running all the time

This process is running continuously on my system and
hogging all the cpu resources - What can I do ?

Thanks, I already have ad aware and spybot - both have
been run numerous times and found various things but have
not resolved this.
However I have not tried CWshredder - will give that a go.
