Can you link me to information on replacement of a failing
hard drive in a dual-boot laptop ( 98 and XP )so as to
avoid data loss or activation issues? Is this possible to
do easily?

You'll need a third-party imaging program,
such as Norton Ghost:

You will also need a way to transfer the image from the failing HD to
the new one. I take it your laptop has no room or facility for a
second HD installed beside the present one?

Perhaps you could purchase a portable HD, copy the image to it, then
remove the failing HD, install the new HD, prepare it
(partition/format), then transfer the image from the portable HD to
the new HD.
