My hard drive is failing so I need to install a new one.
Is there a way to transfer my OS (windows xp) to the new
hard drive. The computer came with Windows ME installed
but I upgraded to XP. I did'nt get a copy of Windows ME
when I bought the computer but I have the XP upgrade disk.

Using DriveImage or Ghost you can clone the original drive to a newer
one. Also, many OEM drives come with software to do exactly what you
want to do.

Also, check the software that comes with your new hard drive. Maxtor
has MaxBlast, Seagate has SeaTools, etc. These program will do this for
you. Just boot off the CD that came with your new hard drive ;)
