From ME to XP

I am having great difficulty with my computer running ME.
Will installing XP completely override ME or do I need to
wipe out the hard drive and then install XP? Will I lose
any files/programs?
 
Either way ME will be gone. A upgrade install will keep all of your
settings and programs. a clean install will overwrite everything.
