Boot your machine with your Win2000 CD, then let it format your hard disk.
And as David says, get off you CapsLock key - it's called "shouting" in
newsgroups.

Hi JimmyZ,

Looks like you have a couple of challenges.

1.) This is really not a challenge, just knowing, you will
do it right. The Capital letters are like screaming over the
internet. Now you know.

2.) The is a little tougher. Win ME actually came out after
W2000, so it's not upgradeable. You just need to get your
data, and everything you can think of that you want off your
HDD, and do a Clean Install. You'll need the newest drivers
for your hardware, and all your applications, and stuff like
your favorites, and address book, ISP settings, and
preferences. If you need some help getting it done, I can
send some of the instructions I have. Basically you need a
W2000 installation CD, and change the boot order to CD from
usually a Floppy. You do that in the BIOS. When you boot up
with the CD then, you can set your partitions and do the
format all together. Most choose NTFD instaed of FAT32.

good computing,
