File security on network

I have 2 PCs connected to network.
Both running Win XP Pro.
PC1 have FAT32 and PC2 have NTFS.

How can I enable (or disable) access spesific users to a
spesific files (or directorries) on PC2 (Locally)?
And how can I do the same to users of PC2 when they
connect to PC1?

I know that in Windows server 2003 I can set permition on
a file level (by right clicking the file). How can I do
the same in WinXP (I have a NTFS format on PC2)?

Yes. You can. Look into NTFS file and directory permissions..

Use the built in help or research using google.

XP hides the security settings in the file/folder
properties settings.

goto:my computer/tools/folder options/view
scroll to the very last checkbox "Use simple file sharing"
and uncheck this box.

Now the security tab is visible in the proerties sheets.

Note : I believe you need NTFS to use these settings.
