On the second attempt, I did fdisk and did reformat the
hdd, I also deleted the partitions and reset them,I'm
running a 2.4 P4 800mhz fsb with 512 DDR 400 with a 120Gb
hdd. Does this still sound like a hardware issue?!?!?!?!?!

I've been trying to upgrade to WinXP Home edition with no
success. I feel like Ive been ripped off by Bill Gates
again.

Can you still get your money back?

I feel for you, though-- I've almost given up on upgrades. I've never been
able to get a really good install that way.

I'm assuming you tried just installing XP to a blank hard drive and
responding with your old 98SE disk when it asks for proof of prior version?
That's been the best way to handle upgrades for me, rather than installing
the old OS first.

1. Update BIOS with latest firmware ROM update
2. Make sure PnP is enabled
3. Make sure Power Management is enabled
4. Make sure any CMOS/BIOS AntiVirus Protection is OFF
