Excel 98 Workbook with Links In Excel 2002 gives errors

I have an Excel 98 Workbook with lots of macros and
links. On my 98 system, I can open the workbook and
choose not to update links. Then I can see the previous
values. However, when I try to open the same file on my
Excel 2002 system, I immediately get the #VALUE error and
never see the previous data. Why is this happening?
