error while trying to upgrade from windows Me to windows XP home

while trying to upgrade as soon as installation process starts i get an error that winnt.dll caused an error in keral32.dll and to try restarting if i continue having problems no matter how many times i restart always get the same error anyone had this problem?
 
Nick, if you have Intuit Quickbooks uninstall it from Add/Remove Programs
in Control Panel. Reinstall after upgrade
is successful. If you have a Echo Sound Card update the driver to Ver 6
or Higher.
