does retail version of windows XP Home edition cd(sold
for around $90) work for any system (emachine, pentium,
Athlon)? Since I can't return it once I bought the cd, I
don't want to buy the wrong cd. I have an ECS K7VTA3
motherboard, and an Athlon-xp in a computer I put up.
would i have any problems, staarting from a system that
does not have any operating systems in it?

No, it is not an upgrade cd. It is WinXP home edition
full version cd.

Then it is not retail, it is OEM and you can only do clean installs with the
OEM version.
MS Windows XP Full Home (OEM Software: Must be purchased with another
computer hardware)

OEM Software :
Outpost #: 3122690
Windows XP Home Edition gives you the freedom to experience more
than you ever thought possible with your computer and the Internet. This is
the operating system home users have been waiting for because it offers
serious stability, so you can have serious fun! This is OEM Software: Manual
Not included!. Must be purchased with another computer hardware! NO RETURN
PRIVILEGE

Does the above sound like what you are contemplating purchasing?
I am not a fan of OEM software when purchased for anything but a new system
as you are doing. OEM version are tied to the original computer it is
installed and Motherboard upgrades are not allowed.
If you have a Windows 98/Me CD that is not currently installed
on another computer you should consider getting the upgrade version of Home.
You can do a clean install with the upgrade version.
