Ok, I am going to be upgrading my motherboard, and cpu. I was just wondering if I will have to re-install windows, or if it will like the new motherboard, and properly start up... I am updating from a AMD Duron, to an AMD Athlon 64, whole new animal. But, I was just wondering if it would like it.

You will most likely need to perform a Repair Installation to properly
detect the new hardware:

You will require new RAM too. Athlon 64s require registered RAM - PC3200+
should do you quite nicely.

Only the FX series of AMD Athlon 64 CPUs with 140 Pins require Buffered RAM.
The standard (Non-FX) Athlon 64 (754 Pin or 939 Pin) CPUs will use regular
DDR RAM (Non-ECC). You can use any speed of DDR from 2700 up. Check with
the manufacturer of the motherboard to see which brands have been tested
with your Motherboard.

Normally, and assuming a retail license (many OEM installations
and licenses are not transferable to a new motherboard - check yours
_before_ starting), unless the new motherboard is virtually identical
(same chipset, same IDE controllers, same BIOS version, etc.) to the
one on which the WinXP installation was originally performed, you'll
need to perform a repair (a.k.a. in-place upgrade) installation, at
the very least:

How to Perform an In-Place Upgrade of Windows XP

As always when undertaking such a significant change, back up any
important data before starting.

This will also require re-activation, unless you have a Volume
Licensed version of WinXP Pro installed. If it's been more than 120
days since you last activated that specific Product Key, you'll most
likely be able to activate via the internet without problem. If it's
been less, you might have to make a 5 minute phone call.

"You will require new RAM too."????

I doubt the OP will require new RAM. For the system to operate properly "it"
may require different RAM.

Just to clarify the matter.

True. But the remark still stands. His old RAM won't be any use as it's more
than likely 2100 or lower.

Well, not exactly. The manual on my ASUS K8V SE Deluxe says I can use
PC3200, PC2700, PC2100 or PC1600 RAM so his old RAM might be OK.

Seems like NoNoBadDog was giving specs from a different motherboard?

As for brand, when I got my Athlon64 3400+ chip and the MB I went to
Fry's and specified the cheapest PC3200 they had, I got two 500mb
sticks of the "Guaranteed for 10 minutes" stuff and it's worked
prefectly for quite some time.

As always, YMMV.
