direct networking? winxp sp1a and winxp sp2

i got a dell 4700 standard nic wXp sp2 .. and a dell ins9100 wXP sp1a
broadcom nic..
i just wanna transfer some files via cat5/rj45 port or lan what ever u
wanna call it direct connection... i have no access ports.. just the 2 comps
and the cable..

i run the setup a home or small office wizard , and it doesnt work...
the desktop registers the connection but says failure or limited band with...
the laptop says its sending but not receiving, its been awhile since i had
to troubleshoot any kind of networks.. so any help would be appreciated
