If the PC just had Win2k and nothing else then I would recommend
reformatting anyways, so it would be best to get the OEM or full.
Also if you do not have a Win2k disc ( ie you only have a
recovery disc or partition ) you will be unable to re-install the
upgrade on your PC without first restoring Win2k.

Remeber there are many advantages for getting the full over the
OEM, you get what you pay for.

First of all, there is no advantage to buying the full version over the upgrade, since you already have a previous qualifying version. The two are identical except that the upgrade requires seeing a previous qualifying version to install--either already installed or on a CD. (Note that, despite what some people may tell you, you *can* do a clean installation with an upgrade CD, just by inserting the previous qualifying version's CD when prompted to do so.)

The OEM version has the following disadvantages:

1. Its license ties it permanently to the first computer it's installed on. It can never be moved to another computer, sold, or given away.

2. It can only do a clean installation, not an upgrade.

3. Microsoft provides no support for OEM versions. You have to get any needed support from your OEM, and the may range anywhere between good and non-existant.

So, given that the OEM and Upgrade versions are roughly similar in price, and the Full version is much more, you should clearly buy the Upgrade version, in my view.

But are you sure that you want to buy any version of XP at all? As much as I personally like XP, the differences between it (under the hood, Windows NT5.1) and Windows 2000 (Windows NT5.0) are fairly small. You may not find it worth the price of upgrading.
