cpu usage increase to 98% after using modem

I'm using a dell computer with a celeron 2.4 G processor and microsoft xp
home edition. the computer works fine except when i access the internet and
then disconnect. ( i am using a dial up modem). after disconneting from the
internet my cpu suage will go up to 98% and stays there, effectively jamming
up my computer. when this happens i'll have to reboot and everthing works
fine until i connect and disconnect to the internet and the same problem
occurs. i've found that if i do not install my soundmax drivers which comes
with the resource disk this problem disappears but then i'll end up without
the ability to hear audio output, be it cd's or mp3, etc.
 
What make and model modem pc card?

This freeware programme is excellent for getting information about your
computer:

Tip: To copy select Report, Quick Report, Plain Text, highlight required
text, right click and select copy. However, whilst this is fine for
posting small amounts of information into newsgroup messages
longer reports will irritate other newsgroup subscribers.

There are different kinds of dial up modems. What sort is it? External?
Internal? If internal there are full modems and ones that use the computers
processor to do the work. If it is that last sort consider changing to a
proper modem. Modems can also have updated firmware too- check your makers
site for updates- and their help section too.
