CPU Usage 100% two WINUPD_EXE FIGHTING

this is my other box.How do I do a OS reinstall without getting hit by virus when I try to do the 47 upgredes? SP1 express went spaz and after several attempts tp "install" I get both confermation if install but when I check for more updates It shows thet it still needs to be downloaded and installed. kelp please
 
Engage firewall and anti virus software prior to connecting to internet.
