converting Windows 98 to Windows XP on a second computer

I am wanting to convert Windows 98 to Windows XP on a second computer and
have the CD I received when I bought Windows XP. Is this possible. I tried
to put it in the other computer and it would not accept the Product Key.
They are both for home use. Thank you.

You purchase more than one CD/license for WIndows XP?
 
No. You need to purchase another copy of Windows XP
[Retail Upgrade Version] for installation on your other computer.
