computer shuts down at startup

I am having lots of trouble with the boot up. I have Windows XP pro and in
the last few days I have been doing some major upgrades. before the upgrade
I re-installed Windows and got the message to re-activate. I waited though
till I received my new motherboard and CPU. Now I have a AMD Athlon 3000+.
when all was set up I activated win xp pro online with the actiovation
operator. Everything went well and I was again activated. but now when I
shut down and reboot I get an error that says something like. failiar to
initialize, Not licensed for this product" or something to that effect.
After trying several times though, It will reboot and run. But then again it
will shut down without warning when I am doing things with other software or
just online.
 
After replacing a MoBo, you must do a Repair, or 'upgrade' setup.

If you run an XP "Upgrade"setup, from the original, or "Gold" version of the setup CD, and you have SP2 installed, it might go into
a setup loop, and you could lose your install. Uninstall SP2, BEFORE you Upgrade setup from CD (that lacks sp2 on it.)
