Component manifests, memtest and lots of pulling-my-hair-out

Dear All,
I have a P4 1.5 GHz with Intel 845 MotherBoard, 512 MB RAM, a
clean-formatted Seagate 120 GB HDD and a nVidia Geforce2 GTS 32 MB video
card. I have been trying to install XP onto this for the last week or so
without any success.

I cannot get past the Component manifest error for GDIplus.man, as listed
umpteen times before in these forums. (On the one occassion it did not
choke on gdiplus.man, it did precisely the same thing with vcrtl.man)
Following the advice in the forums about manifest errors being due to bad or
pirated media (mine is a scratch-free retail version of XP Professional,
btw), I acquired another CD from my office to test it out. The result is
the same!! And my CD worked on my office laptop (did not activate it...)

Following other advice I saw in the forums, I downloaded memtest and ran it
overnight. In the morning, it showed me an astonishing 170,000 errors!!!!
Now, i find that highly suspicious as I have been running Windows 98SE quite
happily, although Medal of Honor keeps crashing every now and then (which
led me to upgrade, in the first place).

My questions are:
1) What to these memtest errors mean? Surely all my RAM cannot be bad!
BTW, I did pull out the DIMMS and cleaned them with cotton + deodorant after
the test.

2) How do I resolve these errors (assuming they are valid errors)

3) :( :( :( How do I get XP to install?

Any and all help is appreciated.
