Cannot install Home edition Window XP

I currently have win 98, and am trying to upgrade to
window XP Home edition. First screen with the choices like
"Install Window XP' , and etc. show up. I click on
install XP and gives choice whether I want o new install
or upgrade. I clicked on upgrade. And asks for key
product key, and when start typing key.. The screen goes
back to 1st screen.

Later I found the installtion keeps going back to the 1st
screen, if I wait long enough on 'Upgrade' or 'New
Install' screen.

How do I make sure the system does not go back to 1st
screen?
