bsod when trying to install winXP

I have a new Asus K8U-X mb with a Sempron 3300 processor. When trying
to install winxp, I get a Driver_IRQL_not _less_or equal error after
clicking on Setup. I have switch out memory , video card with same
result. Any ideas?

Windows XP with SP2 included?
Tried unhooking all devices but the necessary and installing?

yes. unhooked everything but the cdrom and harddrive. Even flashed the
bios with the latest version. the full error message, after the
Driver_Irql_not _less_or equal
stop: 0x000000D1(0x82439290,0x00000002,0x00000000,0xF816B0DA.
