I have a program called MacroMagic that occasionally will keep my computer
from shutting down (WinXP Pro SP2). On occasion the shutdown process will
not proceed and I have to manually close MacroMagic and then do the shutdown
again, successfully. I tried to run MM in Win98 mode but still have the
problem. How can I avoid/solve this problem?

Have you checked with the product developers' support on this?
I'm not familiar with this software, but you might be able to use a batch
file to shut down the process....or just remember to close it before
shutting down.

Try this:

"Automatically Close Applications Not Responding at Shutdown"

Contact the manufactuer, Update the program with one able to run from XP. It
is not an XP problem.
