I have lots of downloads... on some of the files when you hover the mouse
on top of them XP pops up an information box that has a discription of the
file.
On others there is little discription.

Is there a program out there that I can edit the description to any of the
files I have?

What I am interested in is to add text as the "descripton"

If you're running NTFS (and there really is no reason you shouldn't be!)
then that program is called Windows Explorer.
Go to the properties of the file and on the Summary tab enter whatever you
need.

Many types of files contain a Summary tab in the properties. Right click the
file and select the Summary tab. In the Comments section, you can edit the
pop up description for the file. Other files may have an Icon tab, which has
a Description section that can be edited.

Did that. Put text to test this in the "Comments" section. Applied it.
Hovered over it, and got nada.

Any suggestions?

Interesting....though DocComments are included in the Infotip entry for

HKEY_CLASSES_ROOT\*

They don't show on hover, just if comments are added to a detail view of the folder. The opposite of adding an InfoTip to a folder via desktop.ini!

You could put your comments in the Subject field, that shows OK.

If it doesn't, specify what file type you're not seeing info for...some have the default InfoTip overridden.
