Activation because of hardware upgrades

I have been upgrading an old Dell workstation eg ATA PCI.
second CPU, Sound card video 129MB card.
I installed a XP Pro over the original 2000 Pro. XP Rro
is asking me to reactivate (3 days left). Problem is when
I go to reactivate with my key(sealed CD purchase), it
states I have activated too many times and I have to get
another key. What is this ?? What is going on?
Its the same system and my own XP pro key.
Does it mean one can't upgrade without having to buy a
second new XP Pro packet.

Choose the option to activate by phone.
Call the displayed number to Microsoft.
Done in about 5 minutes.

Activation key != produkt key
