Activated, Totally Uninstalled, now want to sell, Possible?

I'll make it simple. I have a Retail copy of Windows XP
Upgrade. I have activated (not registered) it once, but
since then completely removed it. Could I sell or give
this to someone, who could then legally register and
activate it?
