Moving Shared Files from Winnt to W2K server

I want to migrate/move my shared files and folder on my winnt server 4 SP6
to win2k SP4 box. can I do it in batch file or script? I want to do this
during out of office to avoid downtime.

As an additional info, I need to include file and folder permission upon
moving to win2k box.
