When you upgrade (as opposed to a clean install), WinXP Setup attempts to
migrate all your device drivers and applications. This is usually quite
successful - but sometimes not. Many upgraders have reported that they
eventually backed up their data and did a clean install later to get rid of
niggling inconsistencies.
You can try the upgrade route first. If you don't like the results, you can
always clean install later. In that case, don't bother to backup the
programs themselves; you will need to reinstall them from their original
media so that they can make the proper entries in the WinXP Registry.
Since WinXP deals with hardware so much differently from Win98, there's
almost no chance that your old drivers will work with WinXP. Drivers for
most popular products are on the WinXP CD-ROM, but you still will want to
visit the hardware makers' websites to get any improved drivers produced
after the WinXP CD.

However there are no guarantees that it always works perfectly.
However unlikely, it's always possible that something might go
wrong. For that reason it's prudent to be sure you have a backup
of anything you can't afford to lose before beginning.
