Windows 2000 Professional Re-registration

I have an opportunity to purchase Windows 2000 Professional with the C.O.A, License Manual and Product Key from someone that has upgraded to Windows XP. ( The O.S. is registered in their name.

Will I be able to get the O.S. Re-registered in my name by Microsoft, and if so, what do I need to do to get this accomplished

Here's a few points to consider:

1) If they purchased the upgrade version of Windows XP for a system that had this Windows 2000 installed on it, then they must retain the previous OS in accordance with the EULA of the upgrade.

2) If the Windows 2000 was installed by an OEM with the system, then the OEM is responsible for any technical support and warranty, therefore no notification to Microsoft is required and most likely the OEM will not support it when it's transferred.

3) If the Windows 2000 is a retail version, it should have been registered with Microsoft, but the question is, is there any warranty period remaining on this purchase. If not, then there's no use in transferring ownership.
