You shouldn't, but see the following points:

1. Always back up your data. Stuff can go wrong.

2. If your Windows 98 install is not working correctly, it is highly
unlikely that upgrading to another operating system will solve the
issue. It is far more likely that you will really hose your system Big
Time. Solve the problems on Win98 first or back up your data and do a
clean install of the operating system of your choice.

3. Be very sure that your computer can handle XP, which is a far more
demanding operating system (hardware-wise) than Win98. I personally
wouldn't run XP on anything slower than a PIII 600 with 256MB of RAM
and at least a 12GB hard drive. If your Win98 machine doesn't come
close, don't install XP. Here is a link to the XP Upgrade Advisor to
help with whether you should replace Win98:

XP should run on your system, but slow. Make sure you run the upgrade
advisor, and as Malke said don't upgrade over a 98 installation that is
having problems. It will most likely make matters worse. The only way
to do it right in your case is a clean install of XP, and in that case
you can just do a clean install of 98SE.

You shouldn't, assuming that the PC can support WinXP, and that all
of the currently installed programs are WinXP-compatible. WinXP is
designed to install and upgrade the existing operating system while
simultaneously preserving your applications and data, and translating as
many personalized settings as possible. The process is designed to be,
and normally is, quite painless. That said, things can go wrong, in a
small number of cases. If your data is at all important to you, back it
up before proceeding.

Have you made sure that your PC's hardware components are capable
of supporting WinXP? This information will be found at the PC's
manufacturer's web site, and on Microsoft's Windows Catalog:
(http://www.microsoft.com/whdc/hcl/default.mspx) Additionally, run
Microsoft WinXP Upgrade Advisor to see if you have any incompatible
hardware components or applications.

You should, before proceeding, take a few minutes to ensure that
there are WinXP device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98/Me. Also bear in mind that PCs designed for, sold and run fine
with Win9x/Me very often do not meet WinXP's much more stringent
hardware quality requirements. This is particularly true of many
models in Compaq's consumer-class Presario product line or HP's
consumer-class Pavilion product line. WinXP, like WinNT and Win2K
before it, is quite sensitive to borderline defective or substandard
hardware (particularly motherboards, RAM and hard drives) that will
still support Win9x.

By definition, an "upgrade" (as opposed to a clean installation)
means that all data, programs, etc. are kept intact.

However there are no guarantees that it always works perfectly.
However unlikely, it's always possible that something might go
wrong. For that reason it's prudent to be sure you have a backup
of anything you can't afford to lose before beginning.

Reread Malke's number 2 point below. It's very good advice.

Generally, it's NOT a good idea to use an OS upgrade to fix an major
problem as it could make the problem even worse. Fix the problem first,
then do the upgrade.

Instead of installing a new Operating System, why not fix IE?
Note that the last fix here works on Win98:

Make sure your anti-virus is turned off.
The section

Explorer 6
works on earlier versions of Windows.

If you're installing XP to fix something in the current OS, programs
incidental to the OS (IE), or 3rd party programs, don't do it dummy.

Note that the last fix here works on Win98:

If IE breaks on win98, it's often best just to use another browser or
two until the time comes when you go and put win98 on fresh again.
