Loading Windows XP Home on HD with existing Win98SE

I am building a new PC. This is my third PC to build. All
of it is put together. However with this PC, I want to use
my Maxtor 120gig HD (that was in my old system) that
already has Windows 98SE on it. When I bought the new
processor and motherboard, etc. it came with a Windows XP
Home Edition "OEM" disc for the installation.

Question: Will the "OEM" version of Windows XP upgrade the
current Win98SE OS to XP without erasing any of my other
programs etc. I have been told by two people so far that
it will provided that I am booted up into Win 98SE first,
before putting XP disc in CDRom.
Can anyone help out?

OEM versions of Windows XP do not have the ability
to upgrade over an existing Windows installation. It
must be installed on a reformatted drive or an empty
partition. Only "retail versions" of XP can upgrade.
