installing Windows XP upgrade

I put in my Windows XP disc into my computer which already
had windows 98 installed on it on it. I read that because
I already had Windows 98 on that computer, i needed to
choose the "upgrade" option on the disc and not the "new
installation" option. My Windows XP disc which i purchased
new, did not give me the "upgrade" option but that's what
i needed, not the "new installation" option which was all
it would let me do. Why did my XP disc not include or let
me do an upgrade?

It came wrapped in plastic wrap and strapped to a cardboard piece - not in a
nice box?

You bought an OEM - OEM do clean installs only - thus - they are cheaper.
 
Apparently, you acquired an "OEM Version" of Windows XP.
OEM versions cannot upgrade an existing Windows installation. Only
"Retail Versions" can upgrade. Either purchase a retail version of Windows XP
or reformat your drive to install the OEM version "clean".
