I put drive from a W98 machine in one with XP
OS says the disk is not formatted, if I boot to DOS, I
can read the contents of the disk, XP sees no files
Disk Manager seesthe drive OK but has no file system
HELP!!!

This is because the drive is in a format XP doesn't recognise (ie
FAT). You could use something like Partition Magic to convert the
disk to another format.

Windows XP should be able to read FAT and FAT32
What is the status of the drive as shown in disk manager, does it show
ONLINE, if not right click the left hand box and try "Initialize"

You could also try rescan from the action menu in disk mangement.
Also in device manger go into the disk properties/Volumes Tab and click
populate
