xp wont install. mobo problem?

Hi,
Recently my computer's got a strange problem. everytime it
starts it shows "Building DMI Pool....success" instead of
"Verifying DMI Pool Data....". Then it goes up to progress
bar while booting windows xp and restarts.More details are:-
1.I have fedora linux as well on same HDD. No problem in
linux loading. everything works fine there.Though "building
pool data" appears before any os loads so that's
independent of os.
2.Tried reinstalling windows but it gives stop Error after
copying setup files when it restarts to continue setup.
3. No problem in HDD /RAM/Processor. I used same on another
comp and there was no problem.Windows booted
successfully. However when I used another set of
HDD/RAM/Processor with my comp's motherboard, I got the
problem again.
4. Tried booting in safe mode. comp restarts/hangs at
mup.sys. if mup is disabled, then at viaagp.sys. and so
on...guess some driver issue.
5. While I was reinstalling windows xp I got the blue
screen called stop error which
says,"IRQL_NOT_LESS_OR_EQUAL". the four parameters are
0X0000098B, 0X000000FF, 0X00000000 and 0X804E4B44.

Hardware details are as follows:_
1.cpu: Intel Pentium III
2.Motherboard: MS6368 v 2.1, vendor Microstar
3.120 MB ram,20 GB HDD,,VGA color display monitor,video ram
8 MB

Please guide me if I have to replace the whole motherboard.
Thanx in advance.

DMI pool building has to do with the BIOS. This will occur when
you change hardware plugged into the MB. This could be caused
by something as simple as a faulty battery, or bad connections.
