WToolsA.exe - DDL initialization Failed message

Hello,
During shutdown/log off I get this message:
Title: WTOOLSA.exe - DDL initialization failed
The application failed because the windows station is
shutting down.

The hour glass icon is constantly displayed on my screen
in any program when I mouse over the task bar or tool
bar, like it's waiting for a program to come up.

It does not show up in any program when on am on-line.

I've checked in Task Manager to see if WTOOLS.exe is
running, but it's not there.

I have tried re-booting, doesn't help.

Any help would be appreciated.
