xp sp2 won't boot in safe mode / boots fine in normal mode

strange problem:
-xp sp2 does not boot in safe mode !
- otherwise boots fine in normal mode, works fine, virus free, healthy

symptoms:
- when booting in Safe Mode it stops at agp440.sys and just stays there...

solutions tried:
- tried disabling agp440.sys service per MS article from the Console, it
stops at the next service and so on...
- ran chkdsk /r from the console, all good
- uninstalled nero inCD v 4.3x per some suggestions, did not help...
- drivers are all updated

help please?
