i want to upgrade...how to go aboutit and do they have any free downloads
for the same. Please help.

If you're talking about upgrading to VB 2005 Express Edition, you can
download the free Beta 2 here:

If you wish to try the complete Visual Studio 2005 Beta 2, try here:

I am not aware of any announced upgrade offer from VB.NET Standard Edition
to either VB or VS 2005. Keep in mind that the 2005 products have not been
released. There has been an announcement that the Express editions will be
priced at $49 US.
