[code 12] not enough resources........help!

I have a older laptop [panasonic cf-35/200mhz/96mb] and installed
XP-Pro....everything actually works pretty good, except for my pcmcia
hardware. My modem and wifi card both show, but have the error "not enough
resources...code 12]. I've disabled comport/printerport/ird and still can't
get rid of code 12. and still have missing irqs.

note: laptop is non-apic

any ideas?
