ICS uses a fixed address (192.168.0.1) that you can't change without registry edits. I don't know the registry entries, though. You
may want to use Regmon to fin it out.

And, of course, it is worth to mention an "interesting" KB from MS: http://support.microsoft.com/?kbid=241769 (your exact problem).
RESOLUTION
To work around this problem, disconnect the computer using the 192.168.0.1 IP address from the network, or change its IP address to
something other than 192.168.0.1. :-)

Tried Regmon too but nothing specific... guess cant do it with ICS... will try to look for some other software.

Andy,

I don't have a machine here with ICS, but this article may help. It shows
you how to change the address range for the DHCP service within ICS.
Presumably if you can change the DHCP range you can also change the Host IP?
