Default Upgrade Enterprise 64-bit to Ultimate 64-bit

I currently have Enterprise 64-bit installed and would like to use Media
Center facilities.

Do I need to upgrade to Ultimate 64-bit? AND

Can this be done purchasing the Ultimate Upgrade? AND

Will it keep my HDD in tact, that is not Format it.

No. You would need a full version of Vista Ultimate
and perform a clean install.
