Hello
I've just install new modem, HyperTeminal works perfect, but i can't connect
to Internet(via windows XP client) . modem doesn't want to dial number. What
i've done wrong ?

do you have "never dial a connection" selected ?
right click Internet Explorer - select properties
look under connection tab ...
