Default Service Pack 1 XP issue

I am trying to update Windows XP on a laptop that has
currently XP with no service pack.....

The error message is as follows:

Service Pack 1 setup error
The file c:\windows\system32\ftp.exe is open or in use by
another application.
Close all other applications and then click retry.

This happens whether i'm in normal mode or safe mode AND
the process ftp.exe is not running in either case (there
may have been a previous virus, but latest scan shows none
present)

Any suggestions ??

I don't know if this would help or not
BUT
I cannot access Services or Disk Defragmenter (for
example) in Windows XP -- saying that i don't have the
appropriate permissions.....
