asycfilt.dll version 2.40.4277.1

My lack of this file is preventing me from installing 2002
onto 98se and Office 97.<p>

I thought Microsoft libraries were backward compatible and
if not they are given a new library name, provided with
more recent version of the program, and prompted to
replace whatever when necessary. <p>

Once I resolve this file issue, if I do, can I expect more
of the same?<p>

I use win98 and xl2002 (upgraded from xl97 a couple of years ago).

I don't recall any problem when I installed xl2002.
