First of all check out this link:
http://support.microsoft.com/?kbid=810903 But before doing that make sure that your computer & bios are ACPI compliant... don't worry the link above tells you how to do that. I haven't upgraded from Win98 to Win2000 in quite a while (like 3-4 years) but I do remember there was a GIANT emphasis on making sure to upgrade (or flash) your bios. Maybe that was just a thing of the times, but maybe there was something to it...
